Terms of Service

These Terms of Service ("Terms") govern your access to and use of LimeSign's electronic-signature platform, websites, and APIs (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
LimeSign lets users ("Senders") upload documents, place fields, send documents to recipients ("Signers") to review and sign electronically, and receive a sealed document and a Certificate of Completion. Signers receive a secure link and do not need an account.
2. Accounts
You must provide accurate information and are responsible for your account, credentials, and API keys, and for all activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old.
3. Acceptable use
- Do not use the Service for unlawful, fraudulent, or deceptive purposes, or to send documents you are not authorized to send.
- Do not add recipients without a legitimate basis, or use the Service to send unsolicited or bulk messaging.
- Do not upload content that infringes others' rights, contains malware, or violates applicable law.
- Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.
4. Electronic signatures
The Service facilitates electronic signatures under the U.S. ESIGN Act, UETA, and similar laws. Signers are asked to consent to sign electronically before signing. You are responsible for determining whether an electronic signature is appropriate and legally sufficient for your documents and jurisdiction, for the accuracy of the documents and recipients you submit, and for having authority to send them. LimeSign does not provide legal advice and does not guarantee that any particular signature or document is enforceable.
5. Your content
You retain all rights to the documents and data you submit ("Customer Content"). You grant LimeSign a limited license to host, process, transmit, and display Customer Content solely to provide the Service (including delivering signing links, sealing documents, and generating audit records). You are responsible for Customer Content and for the recipients you designate.
6. Fees
Paid plans are billed as described at the time of purchase (for example, per envelope sent). Fees are non-refundable except as required by law. We may change pricing with notice for future billing periods.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by LimeSign and its licensors. These Terms grant no rights to our intellectual property except the limited right to use the Service.
8. Third-party services
The Service relies on third-party infrastructure and delivery providers. Their availability and actions are outside our control, and we are not responsible for them beyond our reasonable efforts to select and manage reputable providers.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY SIGNATURE OR DOCUMENT WILL BE LEGALLY ENFORCEABLE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIMESIGN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You will indemnify and hold LimeSign harmless from claims arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the United States and the State in which LimeSign is established, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located there, unless otherwise required by law.
14. Changes
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
